StartShop provides an AI shopping concierge for online merchants. The Service includes, without limitation: An AI chat and voice agent that can be embedded on a merchant's storefront and respond to shoppers in real time; A merchant dashboard for connecting stores (including Shopify), syncing product catalogs, configuring agent behavior, rules, and commerce policies, and reviewing conversations and analytics; Agent-to-Agent ("A2A") REST and MCP surfaces that let third-party AI agents discover catalogs, request quotes, negotiate, and initiate checkouts under merchant-controlled scopes and rate limits; Optional payment-related flows, including HTTP 402 ("x402") metered access and checkout handoffs to the merchant's underlying commerce platform.

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account, your merchant workspace, and any A2A API keys you issue.

• Your store, your products. You represent that you have the right to list and sell the products you sync to StartShop and that product data is accurate.
• Agent configuration. You are responsible for the system prompt, tone, commission rules, cross-sell rules, and any pricing or discounting logic you configure. The agent will follow the rules you set.
• Compliance. You are responsible for complying with consumer protection, advertising, tax, and e-commerce laws applicable to your business and customers.
• Disclosure. Where required by law, you must disclose to shoppers that they are interacting with an AI assistant.

If you connect a Shopify store, you authorize StartShop to access and process product, inventory, draft order, and subscription data via Shopify's APIs under the scopes you grant at install time. You may disconnect at any time by uninstalling the StartShop app from your Shopify admin, in which case we will stop processing your store data and respect Shopify's GDPR webhook flow for data deletion.

Developer accounts may request scoped API keys from individual merchants. Each key is bound to a merchant, a set of scopes (search, quote, negotiate, order) and a per-minute rate limit. You agree not to:

• Exceed the rate limits or scopes granted by a merchant
• Resell, sublicense, or expose raw merchant catalog data outside the agent flow it was issued for
• Use the Service to scrape, mirror, or train models on merchant data without explicit permission
• Attempt to bypass authentication, x402 payment requirements, or audit logging

The AI agent can make mistakes. Outputs are generated by large language models and may be inaccurate, incomplete, or out of date. You should not rely on AI output for legal, medical, financial, or other professional advice. Merchants are responsible for any commitments made by their configured agent within the rules they have set.

Paid plans are billed through your underlying commerce platform's billing system (for Shopify merchants, via the Shopify Billing API) or another payment processor we designate. Plans, prices, and trial periods are described in the dashboard at the time of subscription. Fees are non-refundable except where required by law. You may cancel at any time; access continues until the end of the current billing period.

You agree not to use the Service to:

• Violate any law or third-party right
• Sell illegal, regulated, or prohibited goods through the agent
• Generate or distribute deceptive, defamatory, or harmful content
• Interfere with the Service's integrity, security, or availability

StartShop and its licensors own the Service, including all software, models, designs, and documentation. You retain ownership of your merchant data, product catalog, brand assets, and conversation content. You grant StartShop a worldwide, non-exclusive license to host, process, and transmit that data solely to provide and improve the Service for you.

Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms.

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. StartShop does not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

To the maximum extent permitted by law, StartShop's aggregate liability under these Terms will not exceed the greater of (a) the fees you paid to StartShop in the 12 months before the claim or (b) USD $100. StartShop will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.

You will defend and indemnify StartShop from third-party claims arising out of (i) your products or storefront, (ii) your configuration of the agent or A2A keys, or (iii) your breach of these Terms.

Either party may terminate at any time. We may suspend or terminate immediately if you breach these Terms or use the Service in a way that risks harm to other users, merchants, or shoppers. Upon termination, your right to use the Service ends and we will delete or return your data in accordance with our Privacy Policy.

We may update these Terms from time to time. If changes are material, we will notify you through the Service or by email. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Exclusive jurisdiction lies in the state and federal courts located in Delaware.
